Terms of Service

These Terms govern your use of the Koda desktop application and this website (together, the "Service"). By downloading, installing, or using Koda, you agree to these Terms. If you don't agree, don't use the Service.
1. Who we are
The Service is provided by [Legal entity] ("Koda", "we", "us"). You can reach us at hello@devkoda.online.
2. What Koda is
Koda is a desktop agentic development environment: it hosts coding-agent command-line tools (CLIs) in real terminals and adds a task board, editor, browser, credential vault, and a local multi-agent coordination layer. Koda runs on your machine and launches the agent CLIs you have installed. Koda is the workspace; it is not itself an AI model or an AI provider.
3. Your account
Using Koda requires a Koda account. New accounts include a 7-day free trial with full access (no payment method required); continued use after the trial requires a paid subscription. You must provide accurate information, keep your credentials secure, and accept responsibility for activity under your account. You must be old enough to form a binding contract in your jurisdiction. You may close your account at any time.
4. Bring-your-own credentials & third-party providers
Koda runs the real first-party agent CLIs (such as Claude Code, OpenAI Codex, Gemini, and Grok) using your own provider subscriptions or API keys. This is important:
- Your use of each agent and provider is governed by that provider's own terms. You are responsible for complying with them, including any rules on automation and acceptable use.
- Koda does not resell, proxy, or provide model access, and is not responsible for provider availability, output, pricing, billing, or account actions.
- You are responsible for any costs you incur with those providers.
5. Your code and content
You retain all rights to the code, files, and other content you work on in Koda ("Your Content"). Koda claims no ownership of Your Content. Because Koda is local-first, Your Content is processed on your own machine; we do not receive it (see our Privacy Policy). You are solely responsible for Your Content and for reviewing anything an AI agent produces before you use it.
6. Acceptable use
You agree not to:
- Use the Service to violate any law or any third-party rights, including a provider's terms.
- Reverse engineer, resell, or circumvent license or payment controls of the Service, except where such restriction is prohibited by law.
- Use the Service to build or operate anything that infringes intellectual property, distributes malware, or causes harm.
- Misrepresent your identity or interfere with the Service's operation or security.
7. Plans, billing & cancellation
- Free trial. Every new account includes a 7-day free trial of the full Service, with no payment method required. When the trial ends, continued use of the app requires a paid subscription.
- Pro. A paid subscription billed on a recurring basis at the price shown at checkout. It renews automatically until cancelled.
- Team. Custom terms agreed in a separate order or agreement.
You can cancel a paid plan at any time; cancellation takes effect at the end of the current billing period, and you keep paid features until then. Except where required by law, payments are non-refundable. We may change prices on a going-forward basis with reasonable notice before your next renewal.
8. Our intellectual property
The Koda application, website, name, and logo are owned by us and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Koda for your own software-development purposes. We reserve all rights not expressly granted.
9. Updates & availability
Koda updates itself automatically from GitHub Releases. We may modify, suspend, or discontinue parts of the Service at any time. We aim to give reasonable notice of significant changes but don't guarantee that any feature will remain available.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
AI agents can produce inaccurate, insecure, or unintended output. Koda does not review or guarantee anything an agent writes or does. You are responsible for reviewing, testing, and deciding whether to use agent output, and for keeping backups of Your Content.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim, or USD $50. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your use of third-party providers through the Service, or your breach of these Terms or applicable law.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, and indemnification) will survive.
14. Governing law & disputes
These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the courts located in [Jurisdiction] for any dispute, except where applicable law gives you the right to bring proceedings elsewhere.
15. Changes to these Terms
We may update these Terms as the Service evolves. We'll revise the "Last updated" date and, for material changes, take reasonable steps to notify account holders. Continuing to use the Service after changes take effect means you accept the updated Terms.
